IndieStand Terms of Service

These Terms of Service (“Terms”) govern your use of the IndieStand platform (“IndieStand”, “we”, “us”, or “our”). By creating an account or using any part of the IndieStand service, you (“you”, “user”, “creator”, or “buyer”) agree to these Terms.
If you do not agree with these Terms, you must not use IndieStand.
1. About IndieStand
IndieStand is an online software platform that enables creators to publish, market, and sell digital products directly to their customers. IndieStand provides the technical infrastructure for hosting storefronts, facilitating checkouts, and delivering digital files.
Payments for IndieStand subscriptions are processed by Dodo Payments (dodopayments.com), which serves as the Merchant of Record for such transactions. Dodo Payments handles payment processing, tax collection, and invoicing on behalf of IndieStand.

2. Scope of the Agreement
These Terms apply to:
- All users who create an account or access IndieStand services (“Creators”).
- All visitors or customers who purchase or download content through IndieStand-powered storefronts (“Buyers”).
By using IndieStand, you enter into a binding agreement with the operator listed above.
3. Definitions
- Platform – The IndieStand SaaS service, including the dashboard, APIs, and storefronts.
- Creator – A user who creates and manages a storefront on IndieStand.
- Buyer – A customer who purchases or accesses digital goods via an IndieStand storefront.
- Digital Goods – Any downloadable files or digital content offered by a Creator.
- Subscription Plan – The service tier selected by a Creator (Trial, Starter, Pro, Business).
- Storage Quota – The maximum file storage capacity allowed per Creator plan.
- Entitlements – Rights to access or download specific digital goods.
- Stripe Connect Account – A Creator’s connected payment account used to process all financial transactions.
4. Account Registration
- You must be at least 18 years old and legally capable of entering into a binding agreement.
- You are responsible for maintaining accurate information and protecting your login credentials.
- IndieStand may suspend or terminate accounts that violate these Terms.
5. Nature of the Service
IndieStand is not a marketplace or reseller.
Creators are the merchant of record for all transactions.
IndieStand provides:
- Tools for building and hosting storefronts.
- Checkout and delivery infrastructure integrated with Stripe Connect.
- Secure file hosting and access management.
- Email notifications related to orders or downloads.
IndieStand does not:
- Own or control the content Creators upload.
- Collect or hold buyer payments directly.
- Provide customer support, refunds, or tax handling for Creator sales.
6. Payments and Payouts
- All Creator sales are processed via Stripe Connect.
- Creators must connect their own Stripe account to receive payments.
- Creators are fully responsible for:
- Managing their own Stripe account and payouts.
- Issuing refunds and handling disputes.
- Paying all applicable taxes and complying with local tax regulations.
- Providing payment-related customer support to their buyers.
IndieStand does not act as a payment intermediary and is not liable for any transaction issues between Creators, Stripe, or Buyers.
Note: Dodo Payments acts only as the Merchant of Record for IndieStand's own subscription plans. All sales made by Creators to Buyers use Stripe Connect, for which the Creator remains the Merchant of Record.
7. Subscription Plans and Billing
- IndieStand operates on a subscription basis. Each plan defines limits such as storage, features, and email usage.
- Subscriptions are sold and billed through Dodo Payments, which acts as the Merchant of Record for IndieStand.
- Dodo Payments handles payment processing, invoicing, and VAT where applicable.
- All receipts and billing-related inquiries for IndieStand plans should be directed to Dodo Payments.
- Fees are billed in advance on a recurring basis via Dodo Payments.
- Unless canceled before renewal, subscriptions renew automatically according to the plan's billing period.
- Subscription payments are non-refundable, except as required by law or handled through Dodo Payments's refund policy.
- Downgrading or canceling a plan may affect access to stored files as outlined in the Data Retention and Overage Policy below.
8. Creator Responsibilities
Creators agree that:
- They own or have the legal right to distribute the content they upload.
- They comply with all applicable laws, including copyright, data protection, and consumer protection laws.
- They are solely liable for the quality, legality, and availability of their products.
- They must provide support, issue refunds where applicable, and handle all customer service inquiries related to their products.
- They will not upload or distribute content that is illegal, harmful, defamatory, infringing, or otherwise prohibited.
- They must comply at all times with Stripe’s Acceptable Use Policy. Violation of Stripe’s AUP may result in immediate suspension or termination of the Creator’s IndieStand account and connected Stripe account without prior notice.
Creators are directly liable to Buyers for ensuring that purchased digital goods remain available during the agreed access period.
9. Buyer Responsibilities
- Buyers are purchasing directly from the Creator, not from IndieStand.
- Buyers must not redistribute or resell purchased content unless explicitly allowed by the Creator.
- Refunds, chargebacks, and disputes are handled by the Creator through Stripe.
10. Data Retention and Overage Policy
Overage
When a store exceeds its storage quota (for example, after a plan downgrade):
- The store immediately loses the ability to upload new files.
- A 7-day grace period begins to allow the Creator to resolve the overage (e.g., by deleting files or upgrading their plan).
- After the grace period, IndieStand may automatically prune stored files exceeding the quota.
Retention
When a Creator’s subscription is canceled, unpaid, or expires:
- All store assets and uploaded files are retained for 30 days after the subscription ends.
- During this retention window, the Creator can renew their subscription and restore full access.
- After 30 days, all assets are permanently deleted and cannot be recovered.
- Buyers will immediately lose download access once the Creator’s plan is canceled or expired.
IndieStand bears no responsibility for any data loss resulting from plan downgrades, overages, or non-renewal.
11. Content Removal and Service Suspension
- IndieStand may remove content or suspend accounts that violate these Terms, applicable laws, or third-party rights.
- IndieStand may remove files in accordance with its storage and retention policies without liability to either Creators or Buyers.
- Removal of content or account suspension does not entitle the Creator to a refund.
12. Intellectual Property
- IndieStand retains ownership of its platform, software, and brand assets.
- Creators retain ownership of the content they upload and grant IndieStand a limited, non-exclusive, royalty-free license to host, distribute, and display the content for the purpose of operating the service.
- Buyers receive only a license to access or download the purchased digital goods as defined by the Creator.
13. Prohibited Use
Users must not:
- Upload or distribute illegal or infringing material.
- Circumvent plan limits or storage restrictions.
- Interfere with IndieStand’s infrastructure or security.
- Use IndieStand to send spam or unauthorized messages.
- Attempt to access data belonging to other users.
Violation may result in immediate termination of access without notice.
14. Warranties and Disclaimers
- IndieStand provides its services “as is” and “as available”.
- We do not guarantee uninterrupted operation, data retention beyond defined periods, or compatibility with all browsers and devices.
- IndieStand disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law:
- IndieStand’s liability is limited to the amount paid by the Creator for their subscription during the last three (3) months.
- IndieStand shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or goodwill.
Creators and Buyers agree that:
- IndieStand is not liable for unavailable content, lost access, or removed assets caused by overage, downgrades, or subscription expiration.
- IndieStand is not a party to transactions between Creators and Buyers.
16. Indemnification
Creators agree to indemnify and hold harmless IndieStand, its owner, and affiliates from any claim, loss, liability, or expense (including legal fees) arising from:
- Their content or actions on the platform.
- Violations of these Terms.
- Disputes or claims from Buyers, Stripe, or third parties.
17. Termination
- You may cancel your account at any time.
- IndieStand may terminate or suspend accounts at its discretion for violations, inactivity (expired trials), or technical reasons.
- Upon termination, stored data will be handled according to the Retention Policy in Section 10.
18. Modifications to the Service and Terms
- IndieStand may modify, suspend, or discontinue parts of the service at any time.
- These Terms may be updated periodically; continued use after changes constitutes acceptance.
19. Governing Law
These Terms shall be governed by and construed under the laws of Germany.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany.

By using IndieStand, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
